Registered Agent Terms
Every state requires a company to have a registered agent: a person or business with a street address in the state, available during business hours to accept legal papers and official mail for the company. If you choose OpenFile as yours, these terms apply on top of our Terms of Service.
Free for the first year with every package, then $119 a year. It renews automatically each year until you cancel.
01What we do
- We list our address in your state as your company's registered office on the state record.
- We provide the service with Northwest Registered Agent, LLC, our registered agent partner. Its office in your state is the address on the state record.
- We accept service of process (lawsuits, subpoenas and other legal papers) and official mail from the state and tax authorities for your company during normal business hours.
- We scan what we receive and email it to the contact on file, normally the same business day and no later than the next business day. We mark legal papers as urgent.
- On request, we forward the paper originals to you by mail.
- We keep a record of what we received and when we sent it to you.
We are an agent for receiving documents only. We don't respond to lawsuits, give legal advice, file anything for you in response, or accept documents that aren't addressed to your company. Other business mail isn't part of this service.
02States we cover
We don't have a registered agent address in every state yet. If we can't serve as agent in your state, we tell you before filing. You can then name your own agent or cancel for a full refund (see our Refund Policy).
03Fees and automatic renewal
- The first year is included with every package, starting on the date the state approves your company.
- After that, the service costs $119 a year and renews automatically for another year on each anniversary, until you cancel.
- By choosing our registered agent, you authorize us to charge your saved payment method $119 (plus any applicable tax) at each renewal.
- We email you a reminder 15 to 45 days before each renewal charge, with the amount, the date and how to cancel.
- If the price changes, we email you at least 30 days before the renewal it applies to. You can cancel before then.
- If a renewal payment fails, we email you. If it stays unpaid for 30 days, we may resign as your agent (see below).
04Cancelling
- Cancel any time by emailing support@joinopenfile.com from the address on your order. We confirm by email. Cancelling stops all future charges.
- Cancel within 30 days of a renewal charge and we refund that renewal in full.
- Your company must always have a registered agent. Before or when you cancel, name a new agent with the state (usually a short "change of registered agent" form, with a state fee). We'll tell you which form your state uses.
- If the state record still lists us after you cancel, we resign as agent as described below, and we keep forwarding what we receive until the resignation takes effect.
05When we may resign
We may resign as your registered agent if:
- you cancel and haven't named a new agent;
- a renewal stays unpaid for 30 days;
- we can't reach you at the contact details on file;
- you use our address for something other than registered agent purposes, or break these terms or the law;
- we stop offering the service in your state.
We resign by filing the resignation the state's law requires and giving you the notice it requires, and at least 30 days' notice by email where the state allows. If you don't name a new agent in time, your company may lose good standing with the state.
06Your responsibilities
- Keep your email, phone and mailing address current with us. We send everything to the contact on file.
- Read what we send you promptly. Legal papers often have short deadlines, and missing one can lead to a default judgment against your company.
- Don't use our address as your business's mailing address, office or place of business, or on licenses and websites, unless we agree.
- File your annual reports and pay state fees and taxes on time, unless your package says we file them.
07Limits on our liability
- Our job is to receive documents and send them to you promptly. We are not responsible for what happens because a document was sent to old contact details you didn't update, wasn't opened, or wasn't acted on.
- We are not responsible for documents that were never delivered to us, or delivered to the wrong agent or address.
- To the extent the law allows, our total liability for the registered agent service is limited to the registered agent fees you paid us in the 12 months before the claim, and the other limits in our Terms of Service apply.
08Everything else
The disputes, governing law and changes sections of our Terms of Service also apply to these terms. Our Privacy Policy covers documents we receive for you.
