Truelabel Inc, a Wyoming corporation · 5830 E 2nd St, Ste 7000, PMB 35111, Casper, WY 82609

These terms are an agreement between you and Truelabel Inc, a Wyoming corporation that runs OpenFile ("we", "us"). They apply when you use this website or place an order. By signing an order you agree to them.

Our [Privacy Policy](https://joinopenfile.com/privacy) and [Refund Policy](https://joinopenfile.com/refunds) are part of these terms.

## 01What we do

We prepare and file formation documents for LLCs and corporations with the state you choose, based on the answers you give us. Depending on your package and add-ons, we also:

- search the state's business records to check your name is available before filing;
- apply for an EIN with the IRS on your behalf;
- provide a standard operating agreement or bylaws and a banking resolution;
- expedite your filing, set up a domain, business email and phone number, and send compliance alerts;
- provide any other add-on you order, as described when you order it.

What each package includes is listed on our pricing section and in your order. We file only what you signed.

Some add-ons only introduce you to another company: business tax filing, invoicing software, insurance quotes, payroll, a bank account, a loan match and freelancers. That company provides the service under its own terms and you pay it directly. We aren't a tax preparer, insurance agency, bank or lender, we don't advise you on what to buy, and we aren't responsible for what that company provides.

Unlimited state filings covers our fee on annual reports, amendments, DBAs, certificates of good standing, foreign qualification, reinstatement and dissolution for one company, for 12 months from when you order it. State fees are separate.

Our firm rate is for licensed accountants, enrolled agents and lawyers ordering for clients. If you order for a client, you confirm you're authorized to act for them and that the information you give us is theirs to share.

Compliance alerts and S-Corp compliance are reminders from us, not a guarantee, and we don't file those returns for you. Agencies change their rules, and filing on time stays your responsibility. For license and permit add-ons, we prepare what you sign; the agency decides whether to issue it, and you meet any exam, bond, insurance or experience rule.

## 02We are not a law firm

OpenFile is not a law firm and not an accounting firm. We don't give legal, tax or financial advice, and using our service does not create an attorney-client relationship. Nothing we send you is privileged.

We fill in state forms with the information you give us. We don't tell you which entity type, state, tax election, ownership split or agreement terms are right for you. Our operating agreements and bylaws are general templates, not documents written for your situation. If you need advice, talk to a licensed attorney or accountant.

The box on our homepage and our chat assistant are automated and can suggest a starting point, such as a business type or state. Those suggestions are general information to help you fill in the form, not advice, and they can be wrong. You decide what to file, and you can change any of it before you sign.

## 03Who can order

- You must be at least 18 and able to enter a binding contract.
- You must have authority to form the company: you are an owner, or you act for the owners with their permission.
- The company must be for a lawful purpose. We may refuse or cancel any order, for example if we believe it is fraudulent, uses someone else's identity, or violates the law. If we cancel before filing, we refund you in full.
- Our service is for companies formed in the United States.

## 04Your responsibilities

- Give us information that is true, complete and current, including every owner's legal name and address.
- Have each person you list agree to being named in a public filing.
- Read your order before you sign it, and tell us promptly if anything is wrong.
- Answer our questions quickly. If the state or we need a change, filing waits until you reply.
- Keep your email and phone current, and keep your order link private: anyone with it can see and update your order.
- After formation, keep your company in good standing: annual reports, franchise taxes, licenses, permits and tax filings are your responsibility unless your package says we do them.

We rely on what you tell us and don't verify it independently. Errors caused by wrong or incomplete information are your responsibility.

## 05Our authority to file for you

When you sign an order, you authorize OpenFile and its staff to prepare and file your formation documents with the state, and to sign them as organizer (for an LLC) or incorporator (for a corporation) on your behalf. That includes confirming on those documents the statements the state requires, based on what you tell us, such as that your registered agent agreed to serve. If you ordered an EIN, you also authorize us to apply for it as your third-party designee.

Our role as organizer or incorporator is administrative. It ends once the company is formed. We don't become an owner, member, manager, director or officer, and we have no authority to act for the company after formation except as you ask us in writing.

You sign by typing your name. That typed name, with the time, your IP address, your browser and the version of the authorization you saw, is your electronic signature. You agree it is as binding as a handwritten one.

## 06Fees and state fees

You pay two kinds of fees, shown as separate lines in your order:

- Our fees. The package (Basic $0, Pro $199, Premium $299) and any add-ons, such as an EIN ($70) or an operating agreement or bylaws ($99) on the Basic package.
- State fees. The filing fee and, if you choose it, expedited processing. The state sets these. We pass them through at cost and pay them to the state for you. We don't mark them up.

State fees change. Before we file we confirm your state's current fee. If it is higher than your order shows, we tell you and wait for your OK before charging the difference.

Some add-ons are billed by the month or year: virtual business address ($29/mo), business phone number ($15/mo), domain and business email ($49/yr), bookkeeping ($125/mo), business website ($99/yr), s-corp compliance ($199/yr), unlimited state filings ($99/yr), registered agent ($119/yr). The price is shown when you order, and we tell you the amount and how to pay before we bill a later period. You can cancel any time by emailing support@joinopenfile.com. Cancelling stops future charges, and the service runs to the end of the period you paid for.

Prices are in US dollars and don't include taxes the company owes after formation, such as annual report fees or franchise taxes.

## 07Payment

Payments are processed by Stripe. You pay at checkout or through a payment link we email you. Card details go directly to Stripe and never reach our servers. We don't submit your filing until your order is paid.

## 08Refunds

In short: cancel before we file and we refund everything. If the state rejects your filing and we can't fix it, we refund our package fee. State fees already paid to the state can't be refunded by us. The full rules are in our [Refund Policy](https://joinopenfile.com/refunds).

## 09Documents and public records

- Formation filings are public records. The company name, its address, its registered agent and, in many states, the names and addresses of organizers, owners, managers or directors become public and searchable once filed. We can't remove them.
- When the state approves your filing, we upload the state's documents to your order page for you to download. Save your own copies.
- The state decides whether to approve a filing and how long it takes. Processing times we show are the state's estimates, not promises.
- Templates we provide are licensed to you for your company's own use.

## 10How we prepare filings

Our staff file every order. To do it faster and with fewer typing errors, they use an AI browser assistant (Claude in Chrome, made by Anthropic) that reads your order and types it into the state's website. A person stays in charge: staff sign in to state portals and review every filing. Once they approve it, the assistant signs it on your authorization, pays the state fee with a card already saved on file and submits it. The assistant doesn't create accounts, enter passwords or enter card numbers.

See our [Privacy Policy](https://joinopenfile.com/privacy) for what information the assistant sees.

## 11Disclaimers

Apart from the promises in these terms, our service is provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

We don't promise that a state will approve your filing, that your name is free of trademark conflicts (a name check of state records is not a trademark search), that a bank will accept your documents, or that our website will always be available or error-free.

## 12Limits on our liability

To the extent the law allows:

- Our total liability for any claim about our service is limited to the fees you paid us (not state fees) for the order the claim is about, in the 12 months before the claim.
- We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities.
- We are not liable for delays or rejections caused by a state office, the IRS, a portal outage, or information you gave us.

Some states don't allow some of these limits, so they may not all apply to you.

## 13Indemnity

You agree to cover our reasonable losses and costs, including legal fees, from claims by others that arise from information you gave us, a filing you didn't have authority to make, or your breach of these terms or the law.

## 14Disputes and governing law

If something goes wrong, email us first at [support@joinopenfile.com](mailto:support@joinopenfile.com). Most problems are solved quickly that way.

These terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. Any dispute that we can't resolve informally will be decided in the state or federal courts located in Wyoming, and you and we consent to their jurisdiction. Either of us may bring a qualifying claim in small claims court instead.

## 15Changes to these terms

We may update these terms. The version and effective date are at the top of this page. Changes apply to orders placed after the effective date; an order you already signed stays under the version you agreed to. For a change that affects an ongoing service,we email you at least 30 days before it takes effect.

## 16General

- These terms, with the policies linked above and your signed order, are the whole agreement between us about our service.
- If a court finds part of these terms unenforceable, the rest still applies.
- If we don't enforce a right straight away, we haven't given it up.
- You can't transfer these terms without our consent. We may transfer them to a company that takes over our business.
- We are not responsible for delays caused by events outside our reasonable control, such as state system outages.
- We send notices to the email on your order. You send notices to support@joinopenfile.com.
