# Do coaches need an LLC?

No. If you've started coaching to change direction or to earn on your own terms, you can begin as a sole proprietor, and a November 2024 state review found no state licensing life coaches. An LLC separates the business from your personal assets in most instances. It doesn't make licensed work legal under a coaching label.

## Coaching and licenses

Utah's licensing review office looked at life coaching in November 2024 and reported that no state required a license. A California behavioral sciences board memo said the same in 2022, and added that coaches can't practice within its licensed professions.

That's the most recent state review we found, and it covers life coaches. We found nothing licensing business or career coaches either, but check your own state if you're unsure.

## What an LLC does for a coach

An LLC gives your practice its own legal owner, so you can sign client agreements and take payment in its name. The SBA says that protects you from personal liability in most instances.

It doesn't protect you from your own wrongful acts. Washington's LLC law says a member stays personally liable for their own torts, and state law varies. Insurance is what covers your own mistakes.

## If you also do licensed work

This is where the answer changes. Therapy stays licensed whatever you call it, and a licensee who also coaches has to keep the two apart. Nutrition varies by state: North Carolina bars unlicensed people from medical nutrition therapy, while Ohio's law bars the unlicensed practice of dietetics.

The entity can change too. California says a plain LLC may not render professional services at all. Texas and New York use professional entities, and in New York a member of a professional LLC stays personally liable for their own malpractice. Ask your licensing board before you file.

## From filing to first client

Open a bank account in the LLC's name so client money stays separate from yours. Use the LLC's name on your client agreements.
